Important — Please Read Carefully: These Terms contain an arbitration agreement and class action waiver (Section 16). By using our Services, you agree to resolve disputes through binding individual arbitration rather than in court and waive your right to participate in class action lawsuits.
1 Definitions
- "Account Owner" — the roofing company or individual who registers for and holds a subscription account.
- "Authorized Users" — employees, subcontractors, or agents of the Account Owner granted access by the Account Owner.
- "Customer Data" — any information entered into the Services by Account Owners or Authorized Users about their customers.
- "Content" — all text, photos, documents, measurement reports, estimates, and other materials uploaded through the Services.
- "Subscription" — a paid or trial plan granting access to the Services.
2 Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years of age and a legal resident or entity organized in the United States to use the Services.
2.2 Account Creation
You must provide accurate, current, and complete information when creating an account, including your company name, name, email address, and payment details. You agree to keep this information updated at all times.
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@theroofingtoolbox.com if you suspect unauthorized access.
2.4 Authorized Users
Account Owners may invite Authorized Users. Account Owners are fully responsible for ensuring all Authorized Users comply with these Terms. Any breach by an Authorized User is deemed a breach by the Account Owner.
3 The Services
3.1 Description
The Roofing Toolbox provides a B2B software platform including: CRM with document and photo storage; Customer Portal for homeowner transparency; Canvassing App for territory mapping and lead tracking; Roof Measurement App for aerial reporting; and Roofing Estimator for instant quote generation.
3.2 Service Modifications
We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to notify Account Owners of material changes. We are not liable for any modification, suspension, or discontinuation of the Services.
3.3 Beta Features
We may offer features on a beta or early-access basis. Beta features are provided "as is" and may be discontinued at any time without notice or liability.
3.4 Third-Party Integrations
The Services may integrate with third-party platforms. Your use of such services is governed by their own terms. We are not responsible for the practices, availability, or accuracy of any third-party service.
4 Subscriptions, Fees, and Billing
4.1 Subscription Plans
Access requires a paid subscription. Current plans and pricing are available at our pricing page. We reserve the right to change pricing with at least 30 days' advance notice.
4.2 Free Trials
At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires.
4.3 Billing and Payment
Subscriptions are billed in advance on a monthly or annual basis. All fees are in U.S. dollars and are non-refundable except as stated in Section 4.6. You are responsible for all applicable taxes.
4.4 Failed Payments
If payment remains outstanding for more than 10 days after a failed charge, we reserve the right to suspend your account. Access will be restored upon receipt of full payment.
4.5 Subscription Changes
Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.
4.6 Cancellation and Refunds
You may cancel at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial periods except where required by law. Upon cancellation, you may export your data within 30 days.
5 Acceptable Use Policy
You agree not to, and not to permit any Authorized User to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Upload content that is defamatory, fraudulent, or that infringes any third-party intellectual property rights.
- Attempt to reverse-engineer, decompile, or derive the source code of the Services or any proprietary algorithm.
- Resell, sublicense, or transfer access to the Services to any third party without our written consent.
- Use the Services to build a competing product or service.
- Scrape or systematically extract data from the Services using automated means.
- Introduce malware, viruses, or harmful code into the Services.
- Use the Canvassing App to collect data in violation of any applicable privacy law, trespass law, or local ordinance.
- Send unsolicited commercial communications (spam) to homeowners or other third parties.
Violations may result in immediate suspension or termination of your account without refund.
6 Customer Data and Privacy
6.1 Ownership of Customer Data
As between you and The Roofing Toolbox, you own all Customer Data. You grant us a limited license to process and store Customer Data solely as necessary to provide the Services.
6.2 Data Processing Agreement
By accepting these Terms, you also agree to our Data Processing Addendum ("DPA"), set out in Exhibit A below. The DPA governs our processing of personal data on your behalf and establishes our respective roles as Data Processor (The Roofing Toolbox) and Data Controller (you).
6.3 Your Responsibilities as Data Controller
- Ensuring you have a lawful basis to collect and input Customer Data into the Services.
- Providing any required privacy notices to homeowners and other individuals whose data you enter.
- Obtaining any required consents before using the Canvassing App to record visits at specific addresses.
6.4 Data Export and Deletion
You may export your Customer Data at any time. Upon cancellation, you have 30 days to export before we delete your data per our retention policy.
7 Intellectual Property
7.1 Our Intellectual Property
The Roofing Toolbox and its licensors own all right, title, and interest in and to the Services, including all software, code, algorithms, measurement methodologies, interfaces, designs, trademarks, logos, and documentation. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Services during your active subscription, solely for your internal business purposes.
7.2 Restrictions
- Do not copy, modify, or create derivative works based on our platform.
- Do not reverse-engineer, decompile, or disassemble any software component.
- Do not remove or alter any proprietary notices.
- Do not use our trademarks, logos, or brand elements without prior written consent.
7.3 Your Content License
You retain ownership of all Content you upload. By uploading, you grant us a worldwide, royalty-free license to host, store, and transmit your Content solely as necessary to provide the Services.
7.4 Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without obligation to you.
7.5 DMCA
If you believe Content on our platform infringes your copyright, submit a DMCA notice to dmca@theroofingtoolbox.com. Full DMCA procedures are in our Privacy Policy, Section 11.
8 EULA — Mobile Applications
8.1 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to download and install our mobile applications on devices owned or controlled by you or your Authorized Users, solely for your internal business use.
8.2 Restrictions
- Do not copy, modify, or distribute the mobile application or its source code.
- Do not reverse-engineer, decompile, or disassemble the mobile application.
- Do not sublicense, sell, rent, or transfer the mobile application or your rights therein.
- Do not use the mobile application to develop a competing product.
8.3 Device Permissions
The Canvassing App requires GPS/location permissions to function. By enabling location permissions, you consent to our collection of location data as described in our Privacy Policy. You may revoke permissions at any time in device settings.
8.4 App Store Terms
If you download our app through Apple App Store or Google Play, your use is also subject to that platform's terms of service. In the event of conflict, these Terms govern to the extent permitted by the app store platform.
9 Customer Portal — Homeowner Access
By inviting homeowners to the Customer Portal, Account Owners represent that they have the homeowner's consent to share their contact information for Portal access purposes. Account Owners remain solely responsible for the accuracy of project information shared through the Portal. Homeowners are not subscribers and have no rights under these Terms beyond viewing information shared with them.
10 Confidentiality
Each party agrees to hold the other's Confidential Information in strict confidence, not to disclose it to any third party without prior written consent, and to use it only to fulfill obligations under these Terms. Your Customer Data is your Confidential Information. Our platform architecture, pricing, and business strategies are our Confidential Information.
11 Representations, Warranties & Disclaimer
11.1 Your Warranties
- You have the legal authority to enter into these Terms.
- Your use of the Services will comply with all applicable laws.
- All Customer Data you enter is accurate and you have all necessary rights to input it.
11.2 Our Warranty
We will provide the Services in a professional manner consistent with industry standards. We do not warrant that the Services will be error-free, uninterrupted, or completely secure.

13 Indemnification
You agree to defend, indemnify, and hold harmless The Roofing Toolbox and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:
- Your use of the Services in violation of these Terms.
- Your violation of any applicable law or regulation.
- Any Customer Data you upload, including claims it infringes third-party rights or violates privacy laws.
- Any dispute between you and your customers (homeowners) arising from your roofing business.
14 Term and Termination
14.1 Termination by You
You may cancel your subscription at any time per Section 4.6.
14.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, fail to pay fees, or if we believe your use poses a legal, security, or reputational risk.
14.3 Effect of Termination
Upon termination, your license to use the Services ceases immediately. We will provide a 30-day window to export your Customer Data before deletion. Sections 7, 10, 11.3, 12, 13, 15, and 16 survive termination.
15 Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Subject to the arbitration agreement in Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Forsyth County, North Carolina.
16 Dispute Resolution and Arbitration
16.1 Informal Resolution
Before initiating formal dispute proceedings, you agree to contact us at legal@theroofingtoolbox.com and attempt to resolve the dispute informally for at least 30 days.
16.2 Binding Arbitration
If informal resolution fails, any dispute will be resolved by binding individual arbitration administered by the AAA under its Commercial Arbitration Rules. The arbitration will be conducted in Winston-Salem, North Carolina, or remotely by mutual agreement.
16.3 Class Action Waiver
16.4 Opt-Out
You may opt out of arbitration by sending written notice to legal@theroofingtoolbox.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement opting out.
16.5 Exceptions
Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights or unauthorized use of Confidential Information.
17 Changes to These Terms
We may update these Terms at any time. If we make material changes, we will notify you by email or in-platform notice at least 30 days before changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
18 General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and Data Processing Addendum, constitute the entire agreement between you and The Roofing Toolbox regarding the Services.
18.2 Severability
If any provision is found unenforceable, it will be limited to the minimum extent necessary, and the remaining Terms remain in full force.
18.3 Force Majeure
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, pandemic, war, or internet infrastructure failures.
18.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
18.5 Notices
All notices to us must be sent to legal@theroofingtoolbox.com. We may send notices to the email address associated with your account.
A Exhibit A — Data Processing Addendum (DPA)
A.1 Roles and Scope
The Account Owner is the Data Controller with respect to Customer Data. The Roofing Toolbox is the Data Processor. This DPA applies to all personal data processed by The Roofing Toolbox in connection with providing the Services.
A.2 Processing Instructions
The Roofing Toolbox will process Customer Data only on documented instructions from the Account Owner and will not process Customer Data for any other purpose. If required by law to process for another purpose, we will inform you before doing so to the extent permitted by law.
A.3 Confidentiality
All personnel authorized to process Customer Data are subject to appropriate confidentiality obligations.
A.4 Security Measures
- Encryption of Customer Data in transit and at rest.
- Role-based access controls limiting employee access to Customer Data.
- Regular security testing and vulnerability assessments.
- Incident response and breach notification procedures.
A.5 Subprocessors
Account Owner grants general authorization to engage subprocessors. Current subprocessors include, but are not limited to:
- Cloud infrastructure and hosting providers (e.g., Amazon Web Services, Google Cloud).
- Payment processors (e.g., Stripe or similar).
- Analytics and monitoring services (e.g., Google Analytics, Google Firebase).
- Email delivery providers.
We will inform you of changes to our subprocessor list. You may object to a new subprocessor within 30 days; if we cannot accommodate your objection, you may terminate your subscription without penalty.
A.6 Data Subject Rights
We will provide reasonable assistance to Account Owners responding to homeowner requests exercising rights under applicable privacy laws. Account Owners are responsible for responding to such requests from their customers.
A.7 Breach Notification
In the event of a confirmed security breach affecting Customer Data, we will notify the affected Account Owner without undue delay and no later than 72 hours after becoming aware (where feasible). Notification will include the nature of the breach, categories and approximate number of records affected, likely consequences, and measures taken or proposed.
A.8 Data Deletion
Upon termination of the Account Owner's subscription or upon written request, we will delete or return Customer Data within 90 days, except where retention is required by applicable law.
A.9 Audits
Account Owners may request written confirmation of DPA compliance no more than once per year. We will provide reasonable information to support such verification, subject to confidentiality restrictions.
