End User License Agreement | The Roofing ToolBox

App Store Notice: This End User License Agreement (EULA) governs your use of The Roofing ToolBox mobile applications. This EULA is entered into between you and The Roofing Tool Box LLC â€” not Apple Inc. or Google LLC. Apple and Google are not responsible for the application or its content.

This End User License Agreement ("EULA" or "Agreement") is a binding legal agreement between you ("User," "you," or "your") and The Roofing Tool Box LLC ("we," "us," or "our") governing your download, installation, and use of The Roofing ToolBox mobile applications, including the Canvassing App, and any updates or related services (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not download or use the App.

1 Agreement & Parties

This EULA is between you and The Roofing Tool Box LLC, a limited liability company located in North Carolina. This EULA incorporates by reference our full Terms of Service and Privacy Policy, which apply to your use of the App in addition to this EULA. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service govern.

This EULA does not apply to Apple Inc. or Google LLC. Those entities are third-party beneficiaries of this EULA as set forth in Sections 12 and 13.

2 License Grant

Subject to your compliance with this EULA and maintaining an active subscription to The Roofing ToolBox platform, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on devices that you own or control.
Use the App solely for your internal business purposes as a roofing contractor or as an authorized employee or agent of a roofing company with an active account.
Access and use the features of the App for which your subscription tier is authorized.

This license does not include any right to use the App for any commercial purpose other than your own internal roofing business operations, or any right to sublicense the App to any third party.

3 Restrictions

You agree that you will not, and will not permit any third party to:

Copy, modify, translate, adapt, or create derivative works based on the App or any part thereof.
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law.
Remove, obscure, or alter any proprietary rights notices, labels, or marks on the App.
Sublicense, sell, resell, rent, lease, transfer, assign, or otherwise commercially exploit the App.
Use the App to build a competitive product or service, or to benchmark the App against a competitive product.
Use the App in any manner that violates any applicable law, regulation, or third-party rights.
Use the Canvassing App to collect or record information at private properties in violation of trespass laws, privacy laws, or local ordinances.
Interfere with or disrupt the integrity or performance of the App or the data it contains.
Attempt to gain unauthorized access to the App or its related systems or networks.

4 Account & Access

Use of the App requires an active account with The Roofing ToolBox. You may access the App either as an Account Owner (roofing company administrator) or as an Authorized User (employee or field rep invited by an Account Owner).

Account Owners are responsible for all activity under their account, including the activity of all Authorized Users they invite. Authorized Users' access is contingent on the Account Owner maintaining an active subscription. If the Account Owner's subscription expires or is terminated, all Authorized Users lose access.

You are responsible for maintaining the security of your login credentials. Do not share your password. Notify us immediately at support@theroofingtoolbox.com if you believe your account has been compromised.

5 Device Permissions

The App may request the following device permissions to enable its features:

Location (GPS): Required by the Canvassing App to enable territory mapping and house visit tracking. Location is collected only while the App is in active use in the foreground. We do not collect background location without explicit disclosure and separate consent.
Camera: Required to capture roof and property photos directly within the CRM module of the App.
Photo Library: Required to upload existing photos from your device to the CRM.
Push Notifications: Optional. Used to alert you to project updates, messages, and important account activity.

You can manage or revoke any of these permissions at any time through your device's Settings app. Revoking certain permissions will limit the functionality of the App but will not terminate your account.

6 Intellectual Property

The App, including all software, code, algorithms, measurement methodologies, designs, graphics, logos, and documentation, is the exclusive property of The Roofing Tool Box LLC and its licensors. All rights not expressly granted in this EULA are reserved.

You retain ownership of all content and data you input into the App (such as photos, customer records, and project notes). By inputting content, you grant us a limited license to store, process, and display that content solely to provide the App's features to you.

The Roofing ToolBox name, logo, and all related product names and marks are trademarks of The Roofing Tool Box LLC. You may not use them without our prior written consent.

7 Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into this EULA by reference. The Privacy Policy describes how we collect, use, and protect your personal information and the personal information of your customers that you enter into the App.

By using the App, you consent to the collection and use of your information as described in the Privacy Policy. If you are an Account Owner, you are responsible for informing your customers about how their data is used and for obtaining any necessary consents before entering their information into the App.

The App collects GPS location data when the Canvassing module is in active use. This data is used solely for territory mapping and is not sold to third parties. See our Privacy Policy for full details.

8 Updates and Changes

8.1 App Updates

We may release updates to the App from time to time to add features, fix bugs, or improve performance. Some updates may be required for continued use of the App. We are not liable for any issues arising from your failure to install required updates. Updates are subject to this EULA unless accompanied by a new EULA, in which case the new EULA governs.

8.2 EULA Updates

We may update this EULA from time to time. When we make material changes, we will notify you through the App or by email. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated EULA. If you do not agree to the updated EULA, you must stop using the App.

9 Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice from us if:

You fail to comply with any provision of this EULA or our Terms of Service.
Your subscription or account is cancelled, suspended, or terminated for any reason.

Upon termination, you must immediately stop using the App and delete all copies of the App from your devices. Termination does not limit any of our other rights or remedies. Sections 6, 10, 11, and 14 of this EULA survive termination.

10 Disclaimer of Warranties

The app is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of any measurement reports, estimates, or other outputs generated by the app. You use such outputs at your own risk.

11 Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall The Roofing Tool Box LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the app, even if we have been advised of the possibility of such damages. Our total liability to you for all claims shall not exceed the greater of (a) the fees paid by you in the three months preceding the claim or (b) one hundred dollars ($100.00). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12 Apple-Specific Terms

This section applies only if you downloaded the App from the Apple App Store.

12.1 Acknowledgement

You and The Roofing Tool Box LLC acknowledge that this EULA is between you and The Roofing Tool Box LLC only, not with Apple. The Roofing Tool Box LLC, not Apple, is solely responsible for the App and its content.

12.2 Scope of License

The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control as permitted by the App Store Usage Rules set forth in Apple's Terms of Service.

12.3 Maintenance and Support

The Roofing Tool Box LLC is solely responsible for providing maintenance and support for the App. Apple has no obligation whatsoever to furnish any maintenance and support with respect to the App. Contact us at support@theroofingtoolbox.com for all support requests.

12.4 Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App. All other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are The Roofing Tool Box LLC's sole responsibility.

12.5 Product Claims

The Roofing Tool Box LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

12.6 Intellectual Property

In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, The Roofing Tool Box LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.

12.7 Third-Party Beneficiary

Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of the terms of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

13 Google Play-Specific Terms

This section applies only if you downloaded the App from the Google Play Store.

You and The Roofing Tool Box LLC acknowledge that this EULA is between you and The Roofing Tool Box LLC only, not with Google LLC. The Roofing Tool Box LLC, not Google, is solely responsible for the App and its content, maintenance, support, and any product liability or intellectual property claims relating to the App. Google LLC is not a party to this EULA and has no obligation or liability with respect to the App or your use thereof.

Your use of the App must comply with Google Play's current Terms of Service. In the event of a conflict between this EULA and Google Play's Terms of Service, Google Play's Terms of Service govern with respect to your relationship with Google only.

14 Governing Law and Disputes

This EULA is governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes arising out of or relating to this EULA are subject to the dispute resolution and arbitration provisions set forth in our Terms of Service, Section 16, including the class action waiver. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of courts located in Forsyth County, North Carolina.
