Terms of Service

1 Definitions

• "Account Owner" — the roofing company or individual who registers for and holds a subscription account.
• "Authorized Users" — employees, subcontractors, or agents of the Account Owner granted access by the Account Owner.
• "Customer Data" — any information entered into the Services by Account Owners or Authorized Users about their customers.
• "Content" — all text, photos, documents, measurement reports, estimates, and other materials uploaded through the Services.
• "Subscription" — a paid or trial plan granting access to the Services.
• "AI Outputs" — roof measurements, roof diagrams, obstruction identifications, pricing estimates, rental/occupancy screening results, or other data generated in whole or in part using artificial intelligence, machine learning, or automated satellite/aerial imagery analysis (including our AI Measurement, Roof Diagram, Diagram Enrichment, and Rental Check features).
• "Third-Party Data Providers" — external providers whose data, imagery, or APIs power certain Services, including Google (Solar API, Maps, Geocoding, and satellite imagery), Anthropic (Claude AI models), and Serper.dev (search data aggregation).
• "Marketing Materials" — Funnel Pages, flyers, direct mail pieces, and other lead-generation or promotional content created, published, or generated using the Services.
• "Lead Data" — contact and property information submitted by a homeowner or prospect through a Funnel Page or other lead-generation tool within the Services.

2 Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age and a legal resident or entity organized in the United States to use the Services.

2.2 Account Creation

You must provide accurate, current, and complete information when creating an account, including your company name, name, email address, and payment details. You agree to keep this information updated at all times.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@theroofingtoolbox.com if you suspect unauthorized access.

2.4 Authorized Users

Account Owners may invite Authorized Users. Account Owners are fully responsible for ensuring all Authorized Users comply with these Terms. Any breach by an Authorized User is deemed a breach by the Account Owner.

3 The Services

3.1 Description

The Roofing Toolbox provides a B2B software platform including: CRM with document and photo storage; Customer Portal for homeowner transparency; Canvassing App for territory mapping and lead tracking; AI-assisted Roof Measurement tools that generate roof area, pitch, slope, and diagram data from satellite/aerial imagery ("AI Measurement"); Roofing Estimator for instant quote generation; Document Builder with electronic signature capture; and Marketing Tools, including a Funnel Builder for lead-generation landing pages and a Flyer/Direct Mail Designer, each described further in Sections 3.5 and 19 below.

3.2 Service Modifications

We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to notify Account Owners of material changes. We are not liable for any modification, suspension, or discontinuation of the Services.

3.3 Beta Features

We may offer features on a beta or early-access basis. Beta features are provided "as is" and may be discontinued at any time without notice or liability.

3.4 Third-Party Integrations and Data Providers

The Services integrate with and rely on third-party platforms to operate certain features, including but not limited to: Google (Maps, Geocoding, Solar API, and satellite/aerial imagery), Anthropic (Claude AI models, used to process imagery, search snippets, and other data for AI-assisted features), Serper.dev (search data aggregation for the Rental Check feature), Stripe (payment processing), Cloudflare (custom domain routing for Funnel Pages), Calendly (scheduling widgets embedded in Funnel Pages), and Resend (transactional email delivery). Your use of any Service that relies on a third-party platform is also subject to that platform's own terms of service and privacy policy. We do not control, and are not responsible for, the availability, accuracy, or practices of any Third-Party Data Provider, including changes to their pricing, rate limits, or data quality that may affect the Services.

3.5 AI-Powered Features and Automated Measurements

(a) Description. Certain Services (including AI Measurement, AI Roof Diagram generation, Diagram Enrichment, and Rental Check) use satellite/aerial imagery, geolocation data, public search results, and machine learning or generative AI models — including models operated by Third-Party Data Providers — to automatically estimate roof measurements, generate roof diagrams, identify possible obstructions, screen for rental/occupancy status, or produce other AI Outputs.

(b) Estimates Only — Independent Verification Required. AI Outputs are computer-generated estimates based on available imagery and data, which may be outdated, incomplete, or inaccurate. AI Outputs are provided for informational and workflow-efficiency purposes only and are not a substitute for a physical inspection, professional measurement, or licensed roofing/engineering judgment. You are solely responsible for independently verifying any AI Output — including roof area, pitch, slope, edge classification, obstruction detection, and rental/occupancy status — before relying on it for a contract price, material order, insurance claim, permit, or any other business-critical or safety-critical decision.

(c) No Guarantee of Accuracy. We make no representation or warranty, express or implied, that any AI Output is complete, accurate, or fit for any particular purpose. Section 11 (Disclaimer) applies in full to all AI Outputs.

(d) Usage Limits and Credits. AI-assisted measurement features are subject to plan-based monthly usage limits and/or a separately purchased credit balance ("AI Measurement Credits"), described in Section 4.7. We may modify usage limits, credit consumption rules, or feature availability at any time, including in response to changes in our own costs from Third-Party Data Providers.

(e) Beta Status. Some AI-powered features may be offered on a beta or admin-gated basis under Section 3.3 and may be modified, limited, or discontinued without notice.

(f) Rental/Occupancy Screening. The Rental Check feature analyzes publicly available search results using an AI model to produce an advisory, non-definitive indication of whether a property may be a rental. It is not a consumer report under the Fair Credit Reporting Act, is not a substitute for legal or title research, and must not be used as the sole basis for any decision affecting a person's housing, credit, employment, or other legally protected interest. You are solely responsible for using this feature in compliance with the Fair Housing Act, applicable do-not-mail/do-not-call laws, and all other applicable law.

4 Subscriptions, Fees, and Billing

4.1 Subscription Plans

Access requires a paid subscription. Current plans and pricing are available at our pricing page. We reserve the right to change pricing with at least 30 days' advance notice.

4.2 Free Trials

At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires.

4.3 Billing and Payment

Subscriptions are billed in advance on a monthly or annual basis. All fees are in U.S. dollars and are non-refundable except as stated in Section 4.6. You are responsible for all applicable taxes.

4.4 Failed Payments

If payment remains outstanding for more than 10 days after a failed charge, we reserve the right to suspend your account. Access will be restored upon receipt of full payment.

4.5 Subscription Changes

Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

4.6 Cancellation and Refunds

You may cancel at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial periods except where required by law. Upon cancellation, you may export your data within 30 days.

4.7 AI Measurement Credits

Certain AI-assisted features (see Section 3.5) consume a monthly plan allocation and/or a separately purchased credit balance ("AI Measurement Credits"), which may be purchased in the packs listed on our pricing page and billed through our third-party payment processor.

• AI Measurement Credits have no cash value, are non-transferable, and are non-refundable once purchased, except as required by law or at our sole discretion.
• AI Measurement Credits stack with, and are drawn down only after, your plan's monthly allocation is exhausted. Unused monthly allocation does not roll over to the next billing period; purchased AI Measurement Credits do not expire but require an active paid subscription to redeem.
• We reserve the right to change the price, size, or availability of AI Measurement Credit packs, and the number of credits consumed per measurement or feature, at any time on a going-forward basis. Such changes will not reduce the credit balance you already hold.
• Credits are consumed upon a completed, successful use of the applicable AI feature. Attempts that fail due to our system error will not consume a credit; we do not guarantee a credit refund for attempts affected by inaccurate, delayed, or unavailable third-party imagery or data.

5 Acceptable Use Policy

You agree not to, and not to permit any Authorized User to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Upload content that is defamatory, fraudulent, or that infringes any third-party intellectual property rights.
• Attempt to reverse-engineer, decompile, or derive the source code of the Services or any proprietary algorithm.
• Resell, sublicense, or transfer access to the Services to any third party without our written consent.
• Use the Services to build a competing product or service.
• Scrape or systematically extract data from the Services using automated means.
• Introduce malware, viruses, or harmful code into the Services.
• Use the Canvassing App to collect data in violation of any applicable privacy law, trespass law, or local ordinance.
• Send unsolicited commercial communications (spam) to homeowners or other third parties.
• Rely on AI Outputs (including AI-generated measurements, diagrams, or rental/occupancy screening results) as the sole basis for a legal, safety, insurance, or housing-related decision without independent verification, as required by Section 3.5(b).
• Publish, via the Funnel Builder or otherwise, any Marketing Material containing false, deceptive, or misleading claims about pricing, roof condition, or your company's credentials.
• Use the Funnel Builder, Flyer/Direct Mail Designer, or any lead-generation tool to violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state do-not-mail/do-not-call registries, or any other applicable marketing or telemarketing law.
• Upload images, logos, or other content to the Funnel Builder or Flyer Designer that you do not own or do not have the right to use.

Violations may result in immediate suspension or termination of your account without refund.

6 Customer Data and Privacy

6.1 Ownership of Customer Data

As between you and The Roofing Toolbox, you own all Customer Data. You grant us a limited license to process and store Customer Data solely as necessary to provide the Services.

6.2 Data Processing Agreement

By accepting these Terms, you also agree to our Data Processing Addendum ("DPA"), set out in Exhibit A below. The DPA governs our processing of personal data on your behalf and establishes our respective roles as Data Processor (The Roofing Toolbox) and Data Controller (you).

6.3 Your Responsibilities as Data Controller

• Ensuring you have a lawful basis to collect and input Customer Data into the Services.
• Providing any required privacy notices to homeowners and other individuals whose data you enter.
• Obtaining any required consents before using the Canvassing App to record visits at specific addresses.

6.4 Data Export and Deletion

You may export your Customer Data at any time. Upon cancellation, you have 30 days to export before we delete your data per our retention policy.

7 Intellectual Property

7.1 Our Intellectual Property

The Roofing Toolbox and its licensors own all right, title, and interest in and to the Services, including all software, code, algorithms, measurement methodologies, interfaces, designs, trademarks, logos, and documentation. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Services during your active subscription, solely for your internal business purposes.

7.2 Restrictions

• Do not copy, modify, or create derivative works based on our platform.
• Do not reverse-engineer, decompile, or disassemble any software component.
• Do not remove or alter any proprietary notices.
• Do not use our trademarks, logos, or brand elements without prior written consent.

7.3 Your Content License

You retain ownership of all Content you upload. By uploading, you grant us a worldwide, royalty-free license to host, store, and transmit your Content solely as necessary to provide the Services.

7.4 Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without obligation to you.

7.5 DMCA

If you believe Content on our platform infringes your copyright, submit a DMCA notice to dmca@theroofingtoolbox.com. Full DMCA procedures are in our Privacy Policy, Section 11.

7.6 AI Output Ownership

As between you and The Roofing Toolbox, you own the AI Outputs generated for your account (e.g., a specific property's roof diagram or measurement) for use in your business, subject to the license in Section 7.3. We and our licensors retain all right, title, and interest in the underlying models, algorithms, and methodologies used to generate AI Outputs. You may not use AI Outputs to help build or train a competing measurement, diagramming, or AI product.

8 EULA — Mobile Applications

8.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download and install our mobile applications on devices owned or controlled by you or your Authorized Users, solely for your internal business use.

8.2 Restrictions

• Do not copy, modify, or distribute the mobile application or its source code.
• Do not reverse-engineer, decompile, or disassemble the mobile application.
• Do not sublicense, sell, rent, or transfer the mobile application or your rights therein.
• Do not use the mobile application to develop a competing product.

8.3 Device Permissions

The Canvassing App requires GPS/location permissions to function. By enabling location permissions, you consent to our collection of location data as described in our Privacy Policy. You may revoke permissions at any time in device settings.

8.4 App Store Terms

If you download our app through Apple App Store or Google Play, your use is also subject to that platform's terms of service. In the event of conflict, these Terms govern to the extent permitted by the app store platform.

9 Customer Portal — Homeowner Access

By inviting homeowners to the Customer Portal, Account Owners represent that they have the homeowner's consent to share their contact information for Portal access purposes. Account Owners remain solely responsible for the accuracy of project information shared through the Portal. Homeowners are not subscribers and have no rights under these Terms beyond viewing information shared with them.

10 Confidentiality

Each party agrees to hold the other's Confidential Information in strict confidence, not to disclose it to any third party without prior written consent, and to use it only to fulfill obligations under these Terms. Your Customer Data is your Confidential Information. Our platform architecture, pricing, and business strategies are our Confidential Information.

11 Representations, Warranties & Disclaimer

11.1 Your Warranties

• You have the legal authority to enter into these Terms.
• Your use of the Services will comply with all applicable laws.
• All Customer Data you enter is accurate and you have all necessary rights to input it.

11.2 Our Warranty

We will provide the Services in a professional manner consistent with industry standards. We do not warrant that the Services will be error-free, uninterrupted, or completely secure.

13 Indemnification

You agree to defend, indemnify, and hold harmless The Roofing Toolbox and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of the Services in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any Customer Data you upload, including claims it infringes third-party rights or violates privacy laws.
• Any dispute between you and your customers (homeowners) arising from your roofing business.
• Any Marketing Material you publish or send through the Funnel Builder, Flyer/Direct Mail Designer, or other lead-generation tools, including claims made about pricing, your business, or a homeowner's property.
• Any reliance on an AI Output without the independent verification required by Section 3.5(b).

14 Term and Termination

14.1 Termination by You

You may cancel your subscription at any time per Section 4.6.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, fail to pay fees, or if we believe your use poses a legal, security, or reputational risk.

14.3 Effect of Termination

Upon termination, your license to use the Services ceases immediately. We will provide a 30-day window to export your Customer Data before deletion. Sections 7, 10, 11.3, 12, 13, 15, 16, and 19 survive termination.

15 Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Subject to the arbitration agreement in Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Forsyth County, North Carolina.

16 Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to contact us at legal@theroofingtoolbox.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute will be resolved by binding individual arbitration administered by the AAA under its Commercial Arbitration Rules. The arbitration will be conducted in Winston-Salem, North Carolina, or remotely by mutual agreement.

16.3 Class Action Waiver

16.4 Opt-Out

You may opt out of arbitration by sending written notice to legal@theroofingtoolbox.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement opting out.

16.5 Exceptions

Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights or unauthorized use of Confidential Information.

17 Changes to These Terms

We may update these Terms at any time. If we make material changes, we will notify you by email or in-platform notice at least 30 days before changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

18 General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and Data Processing Addendum, constitute the entire agreement between you and The Roofing Toolbox regarding the Services.

18.2 Severability

If any provision is found unenforceable, it will be limited to the minimum extent necessary, and the remaining Terms remain in full force.

18.3 Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, pandemic, war, or internet infrastructure failures.

18.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Notices

All notices to us must be sent to legal@theroofingtoolbox.com. We may send notices to the email address associated with your account.

19 Marketing Tools — Funnels, Flyers & Direct Mail

19.1 Funnel Pages

The Funnel Builder lets you publish public-facing lead-generation landing pages ("Funnel Pages"), optionally on a custom domain you configure. You are solely responsible for: (a) all content, images, and claims you place on a Funnel Page; (b) obtaining any rights necessary to use that content; (c) compliance with applicable advertising, consumer protection, and telemarketing laws (including the TCPA and CAN-SPAM Act) for any Lead Data you collect and any follow-up communications you send; and (d) your custom domain registration, DNS configuration, and any downtime or misdelivery resulting from your domain setup. We are not responsible for the content of any Funnel Page and may remove or disable a Funnel Page we reasonably believe violates these Terms or applicable law.

19.2 Lead Data

Lead Data submitted through a Funnel Page is your Customer Data under Section 6, and you are the Data Controller responsible for providing any required privacy notices to prospects and for honoring their data rights requests.

19.3 Flyers and Direct Mail

The Flyer/Direct Mail Designer auto-fills property-specific information (including customer name, address, satellite imagery, and AI-generated roof diagrams) into printable marketing materials. You are solely responsible for verifying the accuracy of any auto-filled or manually entered content before printing or mailing, and for complying with all applicable direct-mail, do-not-mail, and consumer-protection laws in your marketing to homeowners and prospects, including individuals identified through the Rental Check feature.

19.4 No Guarantee of Delivery or Results

We do not print, mail, or deliver any Marketing Material on your behalf unless expressly stated otherwise, and we make no representation about the deliverability, response rate, or business results of any Funnel Page, flyer, or other Marketing Material.
